These Terms & Conditions ("Terms") govern your access to and use of the website and services operated by Yosanie Ltd ("Yosanie," "we," "us," or "our"), including our AI-assisted LinkedIn marketing and lead-workflow tools (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Yosanie provides tools that may include LinkedIn content generation, scheduling and publishing via official integrations, analytics, lead identification workflows, and optional Gmail integration for syncing relevant notification emails and creating or sending outreach you approve. Features available to you depend on your plan and configuration. We may update, add, or remove features as the product evolves.

2. Accounts and Eligibility

  • You must provide accurate registration information and keep your login credentials confidential. You are responsible for activity under your account.
  • You represent that you have authority to bind the business or organisation on whose behalf you use the Service.
  • You must be at least 16 years old (or the age of digital consent in your jurisdiction, if higher) to use the Service.
  • Notify us promptly at hello@yosanie.com if you suspect unauthorised access to your account.

3. Subscriptions, Fees, and Billing

Paid plans are billed according to the pricing and billing terms shown at purchase or in your account. Fees may change with notice for future billing periods. Unless otherwise stated, subscriptions renew automatically until cancelled. You are responsible for applicable taxes. Refunds, if any, are handled in accordance with the plan terms presented at checkout or as required by law.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes or in a way that infringes the rights of others.
  • Attempt to damage, disable, interfere with, or gain unauthorised access to our systems, networks, or other users' accounts.
  • Misuse integrations to spam, scrape at scale beyond intended features, or violate platform rules.
  • Use Gmail or other email features to send commercial messages without a lawful basis and appropriate recipient consent, or for other prohibited email practices.
  • Reverse engineer, resell, or misuse the Service except as expressly permitted.

5. Third-Party Platforms and Integrations

The Service may integrate with third-party platforms such as LinkedIn and Google (including Gmail). Your use of those platforms remains subject to their terms and policies. You are responsible for authorising connections, complying with third-party rules, and for content or messages you publish or send through those platforms via Yosanie. We do not control third-party services and are not liable for their availability, changes, or enforcement actions (including account restrictions imposed by those platforms).

When you connect Gmail, you authorise Yosanie to access and use Google user data only as described in our Privacy Policy, and only to provide the connected features (for example reading relevant LinkedIn notification emails, creating drafts, and sending emails you approve).

6. Content, AI Outputs, and Your Materials

You retain ownership of materials you submit to the Service (such as company information, brand guidance, and edits). You grant Yosanie a licence to host, process, and use that material as needed to operate and improve the Service for you.

AI-generated drafts, suggestions, posts, and emails are tools to assist you. You are responsible for reviewing, editing, and approving content before publishing or sending. Yosanie does not guarantee that AI outputs are accurate, unique, non-infringing, or fit for a particular purpose. You remain solely responsible for the final content associated with your accounts and communications.

7. Intellectual Property

The Service, including software, branding, and documentation, is owned by Yosanie or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

8. Suspension and Termination

We may suspend or terminate access to the Service if you breach these Terms, create risk for Yosanie or other users, fail to pay fees when due, or if we discontinue the Service. You may stop using the Service and cancel your subscription according to the cancellation options in your account or by contacting us. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOSANIE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL MEET YOUR EXPECTATIONS OR PRODUCE ANY PARTICULAR BUSINESS RESULT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOSANIE AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO YOSANIE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

11. Indemnity

You agree to indemnify and hold harmless Yosanie and its directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content or communications, your violation of these Terms, or your violation of any law or third-party rights (including LinkedIn, Google, or recipient rights related to outreach).

12. Privacy

Our collection and use of personal data, including Google user data when you connect Gmail, is described in our Privacy Policy, which forms part of your agreement with us.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the Effective Date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

14. Governing Law

These Terms are governed by the laws of England and Wales. Courts in England and Wales have exclusive jurisdiction over disputes arising from these Terms or the Service, without prejudice to any mandatory consumer protections that may apply in your country of residence.
